1. Introduction

Welcome to WRM Online. These Terms of Service ("Terms") govern your use of our website and services. By accessing or using our services, you agree to be bound by these Terms and our Privacy Policy.

WRM Online provides electrical wholesale supplies and related services to both trade customers (business-to-business) and retail customers (business-to-consumer). These Terms constitute a legally binding agreement between you and WRM Online.

Consumer Rights: If you are a consumer (purchasing for personal use rather than business use), you have certain legal rights under UK consumer protection law, including the Consumer Rights Act 2015 and Consumer Contracts Regulations 2013. Nothing in these Terms affects your statutory rights as a consumer.

2. Account Registration and Use

2.1 Account Creation: To purchase products, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

2.2 Trade Accounts: Trade credit accounts are subject to approval and credit checks. Account terms and credit limits are set at our discretion and may be modified at any time.

2.3 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

2.4 Account Linking: When linking your web account to an existing trade account, admin approval is required. We reserve the right to verify your identity and relationship to the trade account.

3. Orders, Pricing, and Payment

3.1 Product Availability: All orders are subject to product availability. We reserve the right to limit quantities or refuse orders at our discretion.

3.2 Pricing: Prices are shown excluding VAT unless otherwise stated. Customer-specific pricing applies where applicable based on your trade account terms. Prices are subject to change without notice.

3.3 Payment Methods: We accept payment via trade account credit, credit/debit cards, and PayPal. Payment terms for trade accounts are as agreed and shown on your account.

3.4 Payment Processing: Card payments are processed securely through Stripe and TakePayments. By providing payment information, you authorize us to charge the total amount to your selected payment method.

3.5 Late Payment: For trade accounts, late payment may incur interest charges and affect your credit terms. We reserve the right to suspend or cancel accounts with overdue balances.

3.6 Order Confirmation: An order confirmation does not constitute acceptance of your order. We reserve the right to reject any order for any reason, including but not limited to product availability, errors in pricing or product information, or credit issues.

4. Delivery and Click & Collect

4.1 Delivery: Delivery times are estimates only and are not guaranteed. We are not liable for delays in delivery caused by circumstances beyond our control.

4.2 Delivery Charges: Delivery charges apply as shown at checkout and may vary based on order value, weight, and delivery location.

4.3 Click & Collect: Click & Collect is available at specified branches. Collection times are provided as estimates. You will be notified when your order is ready for collection.

4.4 Failed Deliveries: If delivery cannot be completed due to incorrect address information or unavailability, you may be charged for re-delivery or you may collect from our warehouse.

5. Returns and Refunds

5.1 Consumer Returns (14-Day Cooling Off Period): If you are a consumer, you have the right to cancel your order within 14 days of receiving the goods without giving any reason, in accordance with the Consumer Contracts Regulations 2013. To exercise this right, you must inform us of your decision to cancel. You must return the goods within 14 days of notifying us. Goods must be unused and in original packaging. We will refund the price of the goods and standard delivery charges within 14 days of receiving the returned goods.

5.2 Trade Customer Returns: Trade customers may return unused products in original packaging within 30 days of delivery, subject to our approval and a restocking fee where applicable.

5.3 Non-Returnable Items: Custom-ordered, special-order, or cut-to-length products cannot be returned unless faulty. Goods that have been modified, installed, or used cannot be returned under the cancellation right.

5.4 Faulty Products: Under the Consumer Rights Act 2015, goods must be as described, fit for purpose, and of satisfactory quality. If goods are faulty, you may be entitled to a repair, replacement, or refund. Please report faults immediately upon discovery.

5.5 Return Process: All returns must be authorized in advance. Contact our customer service team to request a return authorization before sending any products back. You are responsible for the cost of return shipping unless the goods are faulty or we sent you incorrect items.

6. Product Information and Technical Specifications

6.1 Accuracy: We strive to ensure product information is accurate. However, we do not warrant that product descriptions, images, specifications, or other content is complete, accurate, current, or error-free.

6.2 Technical Data: Product specifications and technical data are provided by manufacturers and third-party data providers (EDATA, Luckins). You should verify critical specifications directly with manufacturers before use.

6.3 Professional Use: Our products are supplied for professional installation and use. You are responsible for ensuring products meet the requirements of your specific application and comply with relevant regulations and standards.

7. Intellectual Property

7.1 Website Content: All content on this website, including text, graphics, logos, images, and software, is the property of WRM Online or its content suppliers and is protected by UK and international copyright laws.

7.2 Product Data: Product images and technical data are provided by manufacturers and licensed data providers. All rights remain with the respective copyright holders.

7.3 Trademarks: Product names, brand names, and trademarks are the property of their respective owners.

8. Limitation of Liability

8.1 Consumer Customers: If you are a consumer, nothing in these Terms affects your statutory rights. We are responsible for losses you suffer that are a foreseeable result of our breach of these Terms or our negligence, but we are not responsible for losses that are not foreseeable.

8.2 Business Customers: If you are a business customer, to the maximum extent permitted by law, we exclude all conditions, warranties, representations, or other terms which may apply to our website or services.

8.3 Business Customer Exclusions: For business customers, we will not be liable for any loss of profits, loss of business, business interruption, or loss of business opportunity arising from your use of our services.

8.4 Business Customer Liability Cap: For business customers, our total liability to you in respect of all losses arising under or in connection with these Terms shall not exceed the total amount paid by you for products in the 12 months preceding the claim.

8.5 Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Breach of your legal rights relating to the goods (for consumers)
  • Any other liability which cannot be excluded or limited under applicable law

9. Data Protection and Privacy
